इक्विटी में निवेश बढ़ाने का यह सही मौका है

शेयर बाजार में पैसा बने का बुनियादी मंत्र है- सस्ते वैल्यूएशन पर खरीदारी कीजिए और महंगे दाम पर बेचिए। यह कहना जितना आसान है, करना उतना ही
मुश्किल। हालांकि, कई लोग सस्ती कीमत पर शेयर नहीं खरीद पाते हैं। वह ऊंचे दाम पर बिकवाली से भी चूक जाते हैं।

अगर पहले के चलन पर नजर डालें तो यह बात साफ तौर पर उभर कर सामने आती है कि छोटे निवेशक अक्सर मुनाफा बनाने का मौका चूक जाते हैं। पिछले साल शेयर बाजार में आई जबरदस्त गिरावट के बाद भारतीय निवेशक भी जोखिम उठाने से बच रहे हैं। ज्यादातर लोगों ने इक्विटी में आई गिरावट के बाद सुरक्षित डेट बाजार का दामन थाम लिया। हालांकि, इस साल मार्च के शुरुआती हफ्ते से शुरू हुई तेजी के बाद यह सवाल उठने लगा है कि इक्विटी में निवेश बढ़ाने का यह सही मौका है या नहीं?

ईटी यहां आपको बता रहा है कि क्यों यह इक्विटी में निवेश करने का सही वक्त है। पूंजी पर अधिकतम रिटर्न हासिल करने के लिए आप निवेश करते हैं। पिछले साल डेट प्रोडक्ट्स ने निवेशकों को बेहतर रिटर्न दिए, लेकिन आने वाले समय में इनसे वही रिटर्न मिलना मुश्किल लग रहा है। पिछले कुछ समय से ब्याज दरों में तेजी से कमी आई है, ऐसे में डेट निवेश से बेहतर रिटर्न शायद न मिले। पिछले कुछ महीनों के दौरान भारतीय रिजर्व बैंक (आरबीआई) ने पॉलिसी दरों में कई बार कटौती की है। रेपो दर घटकर 4.75 फीसदी तक आ गई है। कुछ महीने पहले यह 7 फीसदी थी। कैश रिजर्व रेशियो भी 6 फीसदी से घटकर 5 फीसदी हो गया है। कुछ महीने पहले के दोहरे अंकों के मुकाबले कॉल रेट फिलहाल 2.2-4.3 फीसदी के बीच चल रहे हैं।

कोटक महिंद्रा एसेट मैनेजमेंट के सीईओ संदेश किरकिरे के मुताबिक, ब्याज दरों में कमी आने के बाद डेट प्रोडक्ट्स पर रिटर्न घटना तय है। कुछ समय पहले तक सीडी 8 फीसदी पर कारोबार कर रहे थे, अब वे घटकर 5 फीसदी तक आ चुके हैं। इससे डेट इंस्ट्रूमेंट्स पर रिटर्न में और कमी आएगी। शॉर्ट टर्म डेट वाली म्यूचुअल फंड योजनाओं पर रिटर्न तो घटना भी शुरू हो गया है। इस बीच पिछले दो महीनों में सेंसेक्स में जबरदस्त तेजी आई है। यही नहीं अर्थव्यवस्था की वापसी के संकेतों के बीच शेयर बाजारों के आगे भी अच्छा प्रदर्शन करने की उम्मीद है। किरकिरे ने कहा, 'अर्थव्यवस्था वापसी की राह पर है। अगली कुछ तिमाहियों में मुझे कंपनियों का मुनाफा बढ़ने की उम्मीद है। ऐसे में इक्विटी निवेश के बारे में विचार करना गलत नहीं होगा।'

म्यूचुअल फंड हो सकते हैं आपके लिए बेस्ट ऑप्शन

सेंसेक्स ने 11,000 अंक पर पहुंच कर बाजार में हलचल पैदा कर दी है। बाजार विशेषज्ञ भी एक बार फिर से एक्शन में आ गए हैं। जाहिर है सभी के बाजार को लेकर अपने - अपने विचार हैं। कुछ विशेषज्ञों का मानना है कि बाजार जल्द ही नई ऊंचाइयों को छूएगा , वहीं कुछ का दावा है कि अगर निवेशक अपने निवेश को दो साल तक बनाए रखने के लिए तैयार है तो उसके लिए शेयरों में संभल कर किया गया निवेश फायदेमंद साबित होगा।

लेकिन मुश्किल यह है कि ज्यादातर संभावित निवेशक यह नहीं जानते कि शेयर बाजार में निवेश कैसे किया जाए और कैसे जोखिम को कम कर बाजार से मिलने वाले रिटर्न का फायदा उठाया जाए। यही वजह है कि बहुत कम लोग निवेश के लिए शेयर बाजार को चुनते हैं। छोटे निवेशकों के पास निवेश के लिए ही इतनी कम पूंजी होती है कि वे कम जोखिम के साथ अच्छे रिटर्न के लिए सलाहकार की सेवाओं को वहन नहीं कर सकते। ऐसे में शेयर बाजार का फायदा कुछ लोगों के हाथों में ही पहुंच पाता है। लेकिन अब सुकून वाली बात यह है कि आपको महंगी फीस खर्च कर किसी एक्सपर्ट की सर्विस लेने की कोई जरूरत नहीं है क्योंकि अगर आप 100 रुपए जितनी कम राशि भी म्यूचुअल फंड में निवेश करते हैं तो म्यूचुअल फंड मैनेजर आपकी इस राशि को बेहतर तरीके से शेयर बाजार में निवेश करते हैं।

आप निश्चिंत होकर अपनी निवेश राशि को इन फंड मैनेजर के हाथों में देकर शेयर बाजार का लाभ उठा सकते हैं। इन कुशल फंड मैनेजरों के पास शेयर बाजार का अच्छा अनुभव होता है और ये उसी के आधार आपके धन का निवेश करते हैं। आइए जानते हैं कि आखिर यह सिस्टम काम कैसे करता है। दरअसल म्यूचुअल फंड निवेशकों के पूल से धन जमा करता है और उस धन को निवेशकों के लिए शेयर बाजार में लगाता है। इसके लिए वह मामूली शुल्क जो कि 1.5 से 2 फीसदी तक होता है , वसूल करता है।

निवेशकों के पास अपनी पूंजी को शेयर बाजार या डेट स्कीम ( जो कि फिक्स्ड इन्कम इंस्ट्रमेंट है ) या इन दोनों में बांट कर निवेश करने का विकल्प होता है। यहां निवेशक निवेश से पहले अपने उद्देश्यों के हिसाब से स्कीम के पहले से निर्धारित मानकों को ध्यान में रखते हुए विकल्प का चुनाव करता है।

एक्सपर्ट के अनुसार म्यूचुअल फंड में निवेश छोटे निवेशकों के लिए काफी फायदेमंद साबित होता है। क्योंकि ऐसे ज्यादातर निवेशकों को शेयर बाजार के बारे में पूरी जानकारी नहीं होती है। अग्रणी बैंक में काम करने वाले एक वेल्थ मैनेजर का कहना है , ' ज्यादातर लोगों के लिए शेयर बाजार अभी भी एक अनसुलझी पहेली है। वे बाजार के ऊपर जाने पर भी चिंतित दिखाई देते हैं , वहीं अगर बाजार गिरता है तो भी वे उतने ही भयभीत होते हैं। क्योंकि उनके पास न तो विशेषज्ञों की सेवाएं लेने के लिए पैसा होता है और न ही इतना समय कि वे रोजाना अपने शेयरों के उतार - चढ़ाव पर नजर रख पाएं। इसलिए बेहतर है कि अपने निवेश संबंधी निर्णय की जिम्मेदारी प्रोफेशनल फंड मैनेजर को दे दी जाए। '

इसके अलावा म्यूचुअल फंड में निवेश का विकल्प आपके पोर्टफोलियो को विविधता प्रदान करता है। हालांकि बहुत से लोग इस बात पर बहस कर सकते हैं कि अब जबकि किसी कंपनी का एक शेयर भी बेचा व खरीदा जा सकता है और अपने पोर्टफोलियो में विभिन्न सेक्टर के शेयरों को रखा जा सकता है तो फंड मैनेजर का क्या लाभ है ? लेकिन विशेषज्ञों का मानना है कि म्यूचुअल फंड बेहतर तरीके से विविधता प्रदान करता है। इस बारे में एक सर्टिफाइड फाइनेंशियल प्लानर कहते हैं , ' यदि आपका नजरिया सही नहीं है तो आप अपने निवेश को विविधता प्रदान नहीं कर सकते। जबकि फंड मैनेजर इस स्थिति में होता है कि वह आने वाले समय में लाभ देने वाले विभिन्न सेक्टरों की पहचान कर उनमें निवेश करता है। क्योंकि उसके साथ रिसर्च प्रोफेशनल की पूरी टीम रात - दिन इसी काम में लगी रहती है। '

म्यूचुअल फंड में निवेश करने का एक और सबसे महत्वपूर्ण फायदा सहूलियत भी है। मान लीजिए अगर आपने हर महीने 100 रुपए किसी इक्विटी स्कीम ( ओपन एंडेड ) में निवेश करना शुरू किया तो आप जब चाहें उस स्कीम से बाहर निकल सकते हैं और जब चाहें तब वापस प्रवेश कर सकते हैं। इसके अलावा आपको कर लाभ भी मिलता है।

उदाहरण के लिए यदि आपने किसी इक्विटी स्कीम में निवेश एक साल से ज्यादा तक बनाए रखा तो आप लॉन्ग टर्म कैपिटल गेन टैक्स के दायरे में आएंगें , जो कि इस समय शून्य है। इस बारे में वेल्थ मैनेजर कहते हैं , ' यह जरूरी है कि सबसे पहले फंड हाउस का पिछला रिकॉर्ड और उसकी प्रतिष्ठा पर ध्यान देने के साथ तीन साल तक स्कीम के प्रदर्शन की समीक्षा की जाए। यह देखें कि स्कीम ने तेजी और मंदी के समय कैसा प्रदर्शन किया। इससे आपको फंड मैनेजर के निवेश की शैली और उसकी दक्षता के बारे में सही जानकारी मिल जाएगी।

What should be your investment strategy now?

Financial Year 2008-2009 has been one of the roughest years not just for Corporate India but also for small businesses, individuals and families.

As one enters the new financial year, the key questions in every person’s mind are “Where are we headed? Is our business or job secure? Where do we park our money and more importantly what should be our strategy now?”

Equity markets have their own way of surprising everyone. The rhetoric of gloom and doom was so strong that everyone took for granted that the only way the markets could go was down. Once again, the uncertainty (though on the upside now) witnessed in the last 3 weeks has been unprecedented. The Sensex has once again kissed 11000 but no one knows where the market will head two months down the line.

There is still no improvement in the global economic scenario however there are several measures that have been taken by governments and central banks around the world with the latest being the $ 1 trillion infusion as emergency aid. The scenario today is far different than what has been in the past and looking at history to provide answers might not help at all. Nobody has any clue where we will land up 6-8 months down the line.

Our own markets have been plagued with several problems right from corporate governance issues to the upcoming general elections. BJP or Congress coming to power could be a non event or even a positive trigger for the markets however the formation of a third front could mean pain for the stock markets. FIIs seem to have started buying as is evident by the purchases in the last several days. Mutual Funds and high net worth investors are still sitting on piles of cash that could enter the market once the indices move further by another 10-15%.

At the same time, there are very few buyers of Real Estate and banks have been cautious in disbursing loans. Gold which touched a high of 15700+ is currently down to around 14700 with few takers. On the debt side, interest rates on Fixed Deposits are down and bond markets have become extremely volatile.

So what should your financial strategy be today?

The first step that one must do is to understand one’s financial goals. Ask yourself “What are my short (0-2), mid(2-5) and long term financial goals(5-25 years)? Is my income stable or is there a chance of a job loss or slowdown in business?” Once you have a solid understanding of these areas, the next step is to figure out where you are today and the third step would then be to allocate assets prudently in line with your goals and personal situation. The actions will vary from person to person but here are some general guidelines on what you could do today.

Equity:
There is no way you can time the bottom or invest at the bottom and hence the best strategy is to invest in a staggered manner every month. Wait for sharp corrections to invest lump sum amounts but continue or start off monthly equity investments. A lot of money is actually lost waiting for corrections and when the correction happens, waiting for further correction to happen. Yes there will be days when the sky will look like its falling but that’s how equity markets actually behave. Before you do equity investments, understand your actual tolerance to risk and not what you think is your tolerance to risk. This is easier said than done because it is only when the rubber meets the road do you come to know your actual tolerance.

Gold:
In an era of a weak dollar, Gold will shine and could go much higher from current levels. However if you have bought gold long time back, Rs. 14800-15700 is a great price to partially book profits or get back into cash. There have been noises of gold reaching 20000 levels. However the potential upside from current levels can only be sizeable if gold is bought at much lower levels. A good price to enter gold can be around 11000-12000. Over the next 2-3 years gold could shine but book profits regularly and this is certainly a time to do so.

Real Estate:
Recently we read a column about some increase in real estate sales. The ground reality is that things are getting from bad to worse. There are still very few transactions happening barring a few instances where prices have been slashed down sharply. Banks are offering innovative interest rate schemes though they have not reduced interest rates sharply. October to December period could see a further 20-25% correction in prices and interest rates going back to around 8%. You might well be able to afford a bigger house if you are prudent enough to ignore the noise of last few flats or the best time to buy real estate.

Contingency Funds:
Keep sufficient contingency funds in Fixed Deposits, Short Term Income Funds and Floating Rate Income Funds. Make sure that you do not pile up too much of loans just because it is going to get cheaper. Your repayment ability is far more important and in an uncertain economic environment, it’s always better to be low on liabilities (Debt Diet).

Finally it’s not how much you earn but how much you keep that’s important. Aim to save far more today than you would in good times. Savings done in these times can ensure that you sail through future financial storms comfortably.

Are you driving your car on one wheel?

Reena and Rahul’s wedding gift was a new car. They were really excited about it. Both of them had had several dreams about car. Thoughts were of driving the car, its maintenance, washing and cleanliness etc.

Upon returning from their honeymoon first thing Rahul did was to rush to the car. He sat next to the front right wheel and tried moving it. He tried very hard but unfortunately car did not move. Next day, Reena casually mentioned about it to her colleague in office who was ‘well experienced’ in moving the car. She gave some real insights. Reena knew exactly where Rahul had missed out. Moment she reached home, she went to the car. She now knew that if the car has to move then the rear left wheel has to rotate. That is the trick. She put in lots of efforts. Her clothes got dirty but car did not move. That evening on TV there was this new show on ‘How To Move Your Car’. Both Reena and Rahul finished their dinner early and sat down to watch the show. Reena had kept paper and pen ready to take down notes. The show gave tremendous insight about how critical is the front left wheel for moving the car. After the show, both Reena and Rahul went to the car. Again lots of efforts to rotate front left wheel and again same result.

Next few days Rahul was traveling for work. Reena also had important Seminar. Finally on Sunday they picked up some real good magazines which gave tips on moving the car. Magazines had nice Q&A where queries of readers were answered. After reading all of them they realized their mistake. The fact of the matter was that if car has to move then rear right wheel has to move. Post lunch they both went to the car and tried moving rear right wheel. By this time their enthusiasm had disappeared. When car did not move, they just shrugged it off. In coming months they would once in a while try to move the car by moving one of its wheels but that would not yield result. Finally they started blaming it on destiny. After all, they were really putting in lots of efforts and hard work to move the car.

Does the above story sound weird?

Let me rewrite it for you.

Reena and Rahul were really excited about their marriage and life together. Both of them had several thoughts and plans. One of their plans was to create lots of wealth.

First thing upon returning from honeymoon Rahul did was to list down expenses. He was very clear if wealth has to be created then expenses must reduce. They started living frugal life for some time but over the months it did not yield desired results. When Reena mentioned this to her colleague in office, she said real trick is to increase investment. Investment is key to wealth creation. Reena was convinced. Unless money is not invested well, their wealth tree will never grow. Their concentration was now on investment. Again some time passed but there was no major forward movement. When they heard of the show “Debt the wealth death” they knew what was killing their wealth. Once again focus was to eliminate entire debt. In next two years all their debt was paid back. Yet they did not see enough wealth. At a friend’s party one of the neo-rich was explaining his success story. How only by earning lots of money he could live a fancy life. He splurged regularly. Also had some borrowings etc. however all this did not bother him much because he was earning much more. Reena and Rahul were slowly losing hope of wealth creation. However they now decided to increase their earnings. They both switched to high paying jobs. Alas, their balance sheet was not growing.

Does this story make sense?

Relate both stories and you will know why wealth is not being created.

If a car has to move all four wheels of the car have to move simultaneously and in the same direction – they have to be synchronized. If wealth has to be created all four wheels of finance; income, expense, assets (investments) and liabilities (borrowings) have to be synchronized.

More often than not, we focus on each aspect in isolation. Based on what our friends and colleagues say or what we read or what we hear in social gathering, sometimes we focus on reducing debt. Suddenly we read something and focus shifts to investments. If expert on TV show says reducing of expenses is key to wealth creation, we prepare ‘money saving plans.’ Unfortunately none of these last for long.

To create real long term wealth all the efforts have to be simultaneous and most importantly continuous.

Family budget will help gauge income and expenses. Balance-sheet will show us assets and liabilities. Treat them as two axels of car with wheels at each end.

If all four wheels of car move in synchronized manner, car will move ahead effortlessly. Ignore any one and you will end up working hard but without much forward movement.

Wealth creation and preservation is about moving all four wheels simultaneously and in a synchronized manner.

डिफ्लेशन का मतलब क्या है?

अर्थशास्त्र की किताबों में अपस्फीति यानी डिफ्लेशन को कुछ इस तरह बयां किया जाता है-अपस्फीति उस स्थिति को कहते हैं जिसमें कमोबेश सभी वस्तुओं की कीमत में गिरावट आती है। लेकिन यह परिभाषा जितनी आसान दिखती है समझने में उतनी सरल नहीं है। इसे समझने के लिए पहले उन वजहों को जानना पड़ेगा जिनके चलते यह स्थिति पैदा होती है।

डिफ्लेशन के क्या कारण हैं?

डिफ्लेशन की स्थिति किन कारणों से पैदा होती हैं, इसको लेकर अर्थशास्त्रियों की अलग-अलग राय है। क्लासिकल इकनॉमिस्ट मानते हैं कि यह मौद्रिक घटना है यानी ऐसा मुदा की मांग और आपूर्ति में असंतुलन से होता है। इसे इस तरह समझा जा सकता है कि मांग और आपूर्ति का हिसाब किताब दूसरी कमोडिटी की तरह मुद्रा में भी होता है। अगर मुद्रा की आपूर्ति मांग से कम है तो उसकी कीमत बढ़ जाएगी। इससे हमें सामान और सेवाएं खरीदने के लिए कम मुद्रा की जरूरत होगी। इसका मतलब उस स्थिति में सामान और सेवाओं की कीमत घट रही है।

दूसरी विचारधारा वाले अर्थशास्त्रियों का मानना है कि बहुत ज्यादा उत्पादन होने या मांग घटने से डिफ्लेशन की स्थिति पैदा होती है। मतलब, जब बाजार में सामान या सेवाओं की उपलब्धता मांग से ज्यादा हो जाती है तो उत्पादन आधिक्य की स्थिति बन जाती है। इससे कीमतों में गिरावट आती है। लेकिन इसके पुराने उदाहरण बताते हैं कि डिसइनफ्लेशन मांग में गिरावट और मुद्रा की कम उपलब्धता के चलते होती है। मतलब, मुद्रा की आपूर्ति में गिरावट और अत्यधिक उत्पादन की स्थिति कदमताल करती हैं। अमेरिका में 30 के दशक की महामंदी और 90 के दशक में जापानी डिफ्लेशन के मामले में ऐसा ही हुआ था।

इसके दुष्प्रभाव क्या हैं?

डिफ्लेशन के चलते बेरोजगारी बढ़ती है, यही इसका सबसे बड़ा दुष्प्रभाव है। जब कीमतों में चौतरफा गिरावट आती है तब लोग यह सोचकर सामान खरीदना कम कर देते हैं कि कीमतें और घटेंगी। इसके चलते मांग तेजी घटती है, कंपनियों के पास इन्वेंटरी का जखीरा बढ़ता है और उत्पादन में कमी की जाती है। इसके चलते कंपनियां कर्मचारियों की छंटनी करती हैं। दरअसल, महामंदी के दौरान अमेरिका में बेरोजगारी 25 फीसदी तक पहुंच गई थी। सरकारी और नियामक संस्थाओं के पास डिफ्लेशन रोकने के दो तरीके होते हैं। वे ज्यादा मांग पैदा करने के लिए सरकारी खर्च बढ़ा सकते हैं या रेपो और सीआरआर में कटौती कर व्यवस्था में मुद्रा की उपलब्धता बढ़ा सकते हैं।

इसे गंभीर आर्थिक समस्या क्यों माना जाता है?

ज्यादातर अर्थशास्त्री मानते हैं कि इन्फ्लेशन से ज्यादा मुश्किल डिफ्लेशन को काबू करना है। इस पर अंकुश लगाने के लिए दोनों उपाय किए जा सकते हैं। यानी सरकारी खर्च बढ़ाते हुए या इसके बगैर व्यवस्था में मुद्रा की उपलब्धता बढ़ाई जा सकती है। लेकिन इनके इस्तेमाल की भी कुछ सीमा है। सरकार कुछ राजकोषीय बाध्यताओं के चलते खर्च में लगातार बढ़ोतरी नहीं कर सकती। बड़ा राजकोषीय घाटा किसी अर्थव्यवस्था के लिए सही नहीं है। केंद्रीय बैंक भी हमेशा के लिए बाजार में मुदा की उपलब्धता बढ़ाता नहीं रह सकता। मुद्रास्फीति की रोकथाम में मुद्रा की उपलब्धता घटाना ज्यादा आसान है, क्योंकि रेपो रेट और सीआरआर में अंतहीन बढ़ोतरी चल सकती है। लेकिन अपस्फीति की स्थिति में इन दोनों दरों में कटौती की जाती है। ये शून्य या उससे नीचे नहीं किए जा सकते। ये सभी समस्याएं डिफ्लेशन को गंभीर आर्थिक समस्या बनाती हैं।

क्या है कारपोरेट गवर्नेंस?

कारपोरेट गवर्नेंस क्या है?

किसी भी कंपनी को चलाने की प्रणालियों, सिद्धांतों और प्रक्रियाओं के मिले-जुले रूप को कॉरपोरेट गवर्नेंस कहते हैं। इनसे दिशानिर्देश मिलता है कि कंपनी का संचालन और उस पर नियंत्रण किस तरह किया जाए कि इससे कंपनी की गुणवत्ता बढ़े और इससे संबंधित लोगों को दीर्घकालिक तौर पर लाभ हो। यहां संबंधित लोगों के दायरे में कंपनी का निदेशक मंडल, कर्मचारी, ग्राहक और पूरा समाज शामिल है। इस तरह से कंपनी का प्रबंधन अन्य सभी लोगों के लिए ट्रस्टी की भूमिका में आ जाता है।



कॉरपोरेट गवर्नेंस के सिद्धांत क्या हैं?

पूरी ईमानदारी और पारदर्शिता के साथ कंपनी के कारोबार को चलाना कॉरपोरेट गवर्नेंस का मूल सिद्धांत है। इसमें लेनदेन की गतिविधियों में ईमानदारी बरतना, कंपनी के परिणामों और फैसलों को सार्वजनिक करना, देश के कायदे-कानून का पालन करना और लोगों के भरोसे को बनाए रखना शामिल है। कॉरपोरेट गवर्नेंस पर बाजार नियामक संस्था सेबी ने खास तौर पर कहा है कि कंपनी का प्रबंधन करते हुए यह साफ किया जाना चाहिए कि व्यक्तिगत संपत्ति के दायरे में क्या है और कंपनी की संपत्ति के दायरे में क्या है।

कॉरपोरेट गवर्नेंस क्यों महत्वपूर्ण है?

जिन कंपनियों का कॉरपोरेट गवर्नेंस अच्छा होता है, उन पर लोगों का भरोसा कायम रहता है। किसी कंपनी में स्वतंत्र निदेशकों की उपस्थिति और उनकी सक्रियता से बाजार में उसकी स्थिति अच्छी होती है। आम तौर पर देखा जाता है कि विदेशी संस्थागत निवेशक जब किसी कंपनी में अपना निवेश करना चाहते हैं तो वे कंपनी के कॉरपोरेट गवर्नेंस पर खासा ध्यान रखते हैं।

साथ ही कॉरपोरेट गवर्नेंस उस कंपनी के शेयरों की कीमत पर भी असर डालता है। यदि किसी कंपनी का कॉरपोरेट गवर्नेंस बेहतर होता है तो बाजार से उसे रकम जुटाने में भी आसानी होती है। लेकिन इन सबके बीच दु:खद बात यह है कि कॉरपोरेट गवर्नेंस की चर्चा तभी होती है, जब बड़े पैमाने पर कोई घपलेबाजी होती है।

कॉरपोरेट गवर्नेंस का मसला इन दिनों क्यों चर्चा में है?

आईटी कंपनी सत्यम के संस्थापक रामलिंगा राजू की करोड़ों की घपलेबाजी से कॉरपोरेट गवर्नेंस का मसला सतह पर आ गया है। असल में बीते साल के 16 दिसंबर से ही सत्यम में गड़बड़ी की आहट आने लगी थी। उस वक्त कंपनी ने 1.3 अरब डॉलर खर्च कर मेटास प्रॉपर्टीज में हिस्सेदारी खरीदने की घोषणा की थी।

इस घोषणा के बाद कंपनी के शेयरधारकों में खलबली मच गई और इसके शेयर जमीन पर आ गए। परिणाम यह हुआ कि कंपनी को अपना फैसला वापस लेना पड़ा। बाद में राजू ने स्वीकार किया कि कंपनी के मुनाफे को गलत तरीके से पेश किया गया और कंपनी के पास फंड बहुत ही कम है। सत्यम की इस गड़बड़ी को भारत का सबसे बड़ा कॉरपोरेट घोटाला कहा जा रहा है। विडंबना है कि सत्यम ने बेहतरीन कॉरपोरेट गवर्नेंस के लिए सितंबर 2008 में गोल्डन पीकॉक ग्लोबल अवॉर्ड जीता था।

क्या होता है लीज अग्रीमेंट और क्या हैं इसके फायदे

किराए पर मकान लेने की बात सुनने में तो आसान लगती है, लेकिन इसकी प्रक्रिया में ऐसी कुछ कठिनाइयां आ सकती हैं, जिसका ध्यान रखना बेहद जरूरी है। किसी भी
मकान को किराए पर लेने से पहले किराएदार को मूल बातों का ठीक से पता कर लेना चाहिए। मकान किराए पर लेने का मन बन जाने पर सभी दस्तावेज सॉलिसिटर से सत्यापित करा लेना बेहतर रहता है। इससे आप बाद की मुश्किलों से बच सकते हैं। किराए से जुड़े कुछ महत्वपूर्ण दस्तावेज और मुद्दे इस प्रकार हैं :

० किराएदार को यह सुनिश्चित कर लेना चाहिए कि मकान मालिक के पास प्रॉपटी का मालिकाना हक हो।

० उसे यह डिक्लेरेशन ले लेना चाहिए कि मकान से संबंधित कोई कानूनी मामला नहीं चल रहा।

० ससायटी के शेयर सर्टिफिकट की जांच करा लेनी चाहिए। यह जरूरी है क्योंकि अधिकतर मामलों में किराएदार को सिक्यूरिटी डिपॉजिट देना पड़ता है।

० मकान को किराए पर देने की ससाइटी से अनुमति। किराएदार को उन नियमों और शर्तो को समझ लेना चाहिए जिसके तहत अनुमति दी गई है।

० यह सुनिश्चित कर लीजिए कि पहले के सभी टेलिफोन और बिजली बिलों का भुगतान कर दिया गया है।

० समझौते पर स्वयं मकान मालिक या उसके द्वारा अधिकृत पावर ऑफ अटर्नी के हस्ताक्षर होने चाहिए।

लीज अग्रीमंट में क्या जरूरी

लीज अग्रीमंट ठीक तरह से लिखा होना चाहिए। खास तौर से उसमें नीचे दिए जा रहे बिंदू शामिल होने जरूरी हैं-

० किराया बढ़ाने संबंधी शर्त- किराया कब और कितना बढ़ाया जाएगा।

० किराए में शामिल की गई सभी सुविधाओं का ब्यौरा।

० ससायटी को दिया जाने वाला मेंटेनेंस चार्ज। क्या यह किराए में शामिल है? इसका भुगतान कौन करेगा।

० घर में होने वाली नियमित मरम्मत और मेंटेनेंस का खर्च कौन वहन करेगा।

० फिक्सचर और फिटिंग के कार्य मकान मालिक कराएगा या किराएदार।

० समझौता रद्द करने का आधार। किसी पक्ष द्वारा सूचना देने की मियाद।

० यदि लीज डीड का रजिस्ट्रेशन कराना जरूरी है, तो रजिस्ट्रेशन पर आने वाला खर्च कौन उठाएगा।

० लीज का नवीनीकरण।

० सिक्यूरिटी डिपॉजिट और अडवांस्ड रेंट। क्या सिक्यूरिटी डिपॉजिट पर ब्याज लगेगा? आमतौर पर यह नहीं लगता है।

० पार्किंग एरिया

० ससायटी में प्रवेश करने का शुल्क (कुछ ससायटी शुल्क वसूलती हैं।)

० किराएदार को दिया गया कॉमन एरिया, गार्डन और टेरेस राइट

० म्यूनिसिपल ड्यूज और प्रॉपर्टी टैक्स

ये मुद्दे बड़े शहरों में काफी महत्वपूर्ण हो जाते हैं, क्योंकि दूसरे शहरों की तुलना में इनमें किराया अधिक होता है। दूसरे, यहां 10-15 महीने तक के किराए जितनी रकम सिक्यूरिटी डिपॉजिट के रूप में देनी होती है। इसका मतलब है लीज की पूरी अवधि का किराया यहां अडवांस में ही ले लिया जाता है। इन मुद्दों का ध्यान रखने से किराएदार भविष्य की कई समस्याओं से बच सकते हैं।
